Legal agreement for using Socially Versed services
Effective Date: February 5, 2026
1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Customer," "you," or "your") and Socially Versed LLC ("Socially Versed," "Company," "we," "our," or "us").
These Terms apply to all websites, software, mobile applications, directories, CRM systems, website builder platforms, hosting services, AI tools, business tools, marketing services, online communities, and related products operated by Socially Versed (collectively, the "Services").
By accessing or using any of our Services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not access or use our Services.
2. Eligibility
You must be at least 13 years old to use our Services.
By using our Services, you represent and warrant that:
- You have the legal capacity to enter into this agreement.
- Any information provided is accurate and current.
- Your use of the Services complies with applicable laws and regulations.
3. User Accounts
To access certain Services, you may be required to create an account.
You agree to:
- Provide accurate and complete information.
- Keep account information current.
- Maintain the confidentiality of login credentials.
- Accept responsibility for all activities occurring under your account.
- Notify us immediately of unauthorized account access.
We reserve the right to suspend or terminate accounts containing false, misleading, or fraudulent information.
4. Ownership of Content
You retain ownership of all content you upload, submit, publish, or create using our Services, including:
- Text
- Images
- Videos
- Audio files
- Logos
- Graphics
- Designs
- Business information
- Marketing materials
- Website content
By uploading content, you grant Socially Versed a worldwide, non-exclusive, royalty-free license to host, display, process, reproduce, and distribute such content solely for the purpose of operating and providing the Services.
You are solely responsible for your content and represent that you possess all necessary rights to use and publish such content.
5. Marketing and Promotional Rights
You grant Socially Versed permission to showcase, reference, display, or feature your website, business profile, app, listing, logo, screenshots, testimonials, or publicly available content for marketing and promotional purposes.
This may include:
- Portfolio displays
- Case studies
- Social media content
- Website showcases
- Presentations
- Advertising materials
You may request removal from promotional materials by contacting us.
6. Business Listings and User Submissions
If you create a listing, profile, directory entry, marketplace listing, or submit content:
- Information must be accurate and truthful.
- Misleading information may be removed.
- Listings may be reviewed before publication.
- We reserve the right to edit, reject, suspend, or remove content at our discretion.
7. Acceptable Use Policy
You agree not to:
- Violate any law or regulation.
- Upload illegal or unlawful content.
- Harass, threaten, abuse, or intimidate others.
- Post defamatory, hateful, obscene, or offensive material.
- Infringe intellectual property rights.
- Distribute malware, viruses, or malicious code.
- Attempt unauthorized access to systems.
- Use automated scraping tools.
- Send spam or unsolicited communications.
- Create fraudulent or deceptive websites.
- Engage in scams, phishing, or misleading practices.
- Host or distribute adult content or pornography.
- Circumvent security measures.
- Damage the reputation of Socially Versed through knowingly false statements.
Violation of these rules may result in immediate suspension or termination without refund.
8. Email Marketing and Communication Services
Users utilizing email, SMS, CRM, automation, or communication tools agree:
- All recipients have provided proper consent.
- Contact lists are lawfully obtained.
- Email addresses are valid.
- Communications comply with applicable anti-spam laws including CAN-SPAM, TCPA, GDPR, and related regulations.
Users may not repeatedly delete and re-import contacts to bypass platform limitations.
Socially Versed reserves the right to suspend messaging privileges for abuse or compliance violations.
9. Third-Party Services
Our Services may integrate with third-party providers including:
- Stripe
- Meta
- OpenAI
- Hosting providers
- Domain registrars
- Payment processors
- Analytics platforms
Your use of these services is subject to their respective terms and policies.
We are not responsible for the actions, availability, security, or performance of third-party services.
10. Payments, Billing & Subscriptions
Certain Services require payment.
By purchasing Services, you agree that:
- Fees are charged in U.S. Dollars.
- Payments may be recurring.
- Applicable taxes may apply.
- Subscription plans automatically renew unless canceled before renewal.
- You authorize us and our payment processors to charge your payment method.
Failure to maintain payment may result in suspension or termination of Services.
11. Refund Policy
Unless otherwise stated in writing:
- Monthly subscriptions are non-refundable.
- Add-ons are non-refundable.
- Deposits are non-refundable.
- Lifetime plans are non-refundable.
- Custom development, website design, consulting, strategy, branding, SEO, automation, marketing, and exclusive package purchases are non-refundable once work has begun.
Any exceptions remain solely at the discretion of Socially Versed.
12. Website Hosting & Domain Services
Hosting and domain services may be provided through third-party providers.
Users acknowledge:
- Domains are subject to registrar policies.
- Domain registrations are generally non-refundable.
- Hosting services may be suspended for non-payment.
- Website downtime may occur due to maintenance, third-party outages, security incidents, or circumstances beyond our control.
Customers are responsible for maintaining backups of their content.
13. Service Availability
We strive to provide reliable Services but do not guarantee:
- Continuous uptime
- Error-free operation
- Uninterrupted access
- Availability of specific features
We reserve the right to modify, suspend, discontinue, or replace any Service at any time.
14. Intellectual Property
All Socially Versed branding, software, code, designs, trademarks, logos, service marks, and proprietary materials remain the exclusive property of Socially Versed LLC unless otherwise stated.
Nothing in these Terms transfers ownership of our intellectual property to users.
15. Disclaimer of Warranties
All Services are provided "AS IS" and "AS AVAILABLE."
To the fullest extent permitted by law, Socially Versed disclaims all warranties including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy
- Reliability
- Availability
We do not guarantee any business results, revenue, rankings, traffic, leads, sales, or profitability unless specifically stated in a written service agreement.
16. Business Builder Performance Guarantee
For qualifying Business Builder Growth Plans and higher management packages only:
If Socially Versed does not generate measurable business exposure, website traffic, or lead activity after three (3) months of active participation and compliance by the client, Socially Versed may provide:
- Two (2) additional months of service; and
- Up to $500 in advertising credit
Eligibility requirements and qualifications remain subject to program-specific terms.
17. Limitation of Liability
To the fullest extent permitted by law, Socially Versed shall not be liable for:
- Indirect damages
- Lost profits
- Lost revenue
- Lost business opportunities
- Loss of data
- Service interruptions
- Reputation damage
- Third-party actions
- User-generated content
- Business disputes between users
Our total liability shall not exceed the amount paid by you for the Services during the twelve (12) months preceding the claim.
18. Indemnification
You agree to defend, indemnify, and hold harmless Socially Versed, its owners, employees, contractors, affiliates, and partners from any claims, damages, liabilities, costs, or expenses arising from:
- Your use of the Services
- Your content
- Your business operations
- Violations of these Terms
- Violations of applicable laws
19. Account Suspension and Termination
We may suspend or terminate access to Services for:
- Non-payment
- Fraudulent activity
- Security concerns
- Abuse of Services
- Violations of these Terms
- Legal requirements
Upon termination, we may delete associated content, data, websites, and account information.
Users may request account closure at any time.
20. Changes to Terms
We reserve the right to update these Terms at any time.
Updated versions will be posted on our websites and become effective immediately upon publication unless otherwise stated.
Continued use of the Services constitutes acceptance of revised Terms.
21. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the United States and the State of Indiana, without regard to conflict of law principles.
Any disputes shall be resolved in the courts located within Indiana.
